VATAR DEVELOPER AGREEMENT
Version 1.0 · Effective Date: 11 October 2026
This Developer Agreement (the "Agreement") is between Vatar, Nigeria, the company behind Lagos Life and our other social worlds ("Vatar", "we", "us" or "our"), and you, the person or company that registers as a developer, uses our developer tools or submits a game to any Vatar world ("you" or "Developer").
By creating a developer draft, using the Vatar Games SDK or APIs, or ticking "I have read and agree to the Vatar Developer Agreement" when you submit a game, you agree to this Agreement. If you accept on behalf of a company, you confirm that you have the authority to bind that company, and "you" means that company. You must be at least 18 years old.
This Agreement is in addition to the terms of the Vatar world you use, such as the Lagos Life Terms of Use, Privacy & Cookie Policy and Game, Brand & Real-World Content Disclaimer, which also apply to your account there. If they conflict on anything about your Game, this Agreement wins.
1. Definitions
- Platform: Vatar's social worlds, starting with Lagos Life, including their websites (such as lagoslife.app and vatar.com), in-game phones and Games apps, and related services.
- Game: any game, app, experience or content you submit to or make available through the Platform, including its updates.
- Developer Tools: the Vatar Games SDK, the APIs, the sandbox, test and live credentials, documentation, sample code and the developer dashboard.
- Players: people using the Platform.
- Products: items, upgrades, currencies, passes or other extras that Players can buy inside your Game.
- Gross Sale: the amount a Player actually pays for a Product through the Platform's checkout, less refunds, reversals, chargebacks, and any taxes we are required by law to collect or remit on that sale.
- Creator Share: seventy percent (70%) of each Gross Sale.
- Platform Share: thirty percent (30%) of each Gross Sale. We keep it, and it covers payment processing fees.
- Credentials: your test and live secret keys, webhook signing secrets and any other access tokens we issue to you.
2. Your licence to use the Developer Tools
2.1 We give you a limited, non-exclusive, non-transferable, revocable licence to use the Developer Tools only to build, test, submit and run your Game on the Platform, in line with this Agreement and our documentation.
2.2 You must not:
- (a) use the Developer Tools for any other purpose;
- (b) copy, sell, sublicense or redistribute them, except the SDK script as served by us inside your Game;
- (c) reverse engineer or tamper with the Platform, or try to get around any security, rate limit, sandbox or payment control;
- (d) access, scrape or collect data about Players or the Platform other than what the SDK gives your Game;
- (e) use the Developer Tools to build a competing platform;
- (f) share your Credentials with anyone who isn't working on your Game under your control.
2.3 We may change, version or retire the Developer Tools. We will try to give at least thirty (30) days' notice of breaking changes to a live API version, unless a change is needed sooner for security, legal or safety reasons.
3. Your Game and its content
3.1 Ownership. You keep all rights you have in your Game. We keep all rights in the Platform, the Developer Tools and the Vatar and Lagos Life names, logos and content. Nothing in this Agreement transfers ownership either way.
3.2 Your licence to us. While your Game is on the Platform, you give us a worldwide, non-exclusive, royalty-free licence to:
- (a) host links to it and frame it inside the Platform;
- (b) show, reproduce and display your Game's name, icon, screenshots, descriptions, studio name and username;
- (c) feature, rank and promote your Game inside and outside the Platform, including on our social media.
After your Game is removed, we may keep promotional material already published, and records we need for accounting, legal or security purposes.
3.3 Your promises. You confirm that:
- (a) you own or have all necessary rights to everything in your Game, including code, art, music, fonts, characters and trademarks;
- (b) your Game does not infringe anyone's rights;
- (c) your Game and its descriptions are accurate and not misleading;
- (d) your Game complies with all applicable laws.
3.4 Hosting. You host your Game at the HTTPS address you submit. It must allow framing by the Platform. You are responsible for its availability, performance, security and support. The address and webhook you submit are fixed when approved; changing them sends your Game back to review.
4. Content and conduct rules
Your Game must not contain or do any of the following:
- (a) gambling or games of chance played for money, real-money prizes, or any way for Players to cash out or withdraw money or anything of real-money value;
- (b) adult, sexual or sexually suggestive content, nudity, or content that sexualises anyone;
- (c) content that is hateful, harassing, threatening, or that promotes violence, terrorism, self-harm, illegal drugs or crime in the real world;
- (d) anything that harms, exploits or targets children;
- (e) malware, viruses, cryptocurrency mining, hidden code, or anything that degrades a Player's device;
- (f) tracking, fingerprinting or profiling Players, or collecting personal data (see section 8);
- (g) payments, payment links, donation links or advertising for paying anywhere other than through
Vatar.purchase(see section 5); - (h) advertising for gambling, betting, adult services, scams, cryptocurrencies or tokens, or anything illegal;
- (i) impersonation of Vatar, Lagos Life, any brand or any person, or any suggestion that we endorse you beyond listing your Game;
- (j) deceptive practices, including misleading prices, hidden costs, fake timers, or designs that trick Players into buying;
- (k) anything that breaks the law in Nigeria or where your Game is offered.
Staking or wagering inside your Game may use in-game money of the Vatar world only, and only through features we provide for it. Game money has no real-world value and can never be bought from you, sold or cashed out.
5. In-game purchases
5.1 One way to pay. Every Product sold to Players must be sold through the Vatar Games SDK (Vatar.purchase) and the Platform's checkout. We collect all payments from Players.
5.2 Products and prices. You set each Product's name, description and price in naira, within the range shown in the dashboard (currently ₦100 to ₦50,000). Products must be reviewed before they can be sold. We may decline or remove any Product. Prices shown to Players always come from our records.
5.3 Delivery. A purchase is complete only when our server confirms it as paid. Your server must:
- (a) check every purchase with our API before giving the Product;
- (b) give the Player the Product promptly once it's confirmed;
- (c) mark it delivered through the API.
You must not give Products for unconfirmed purchases or take payment in any other way.
5.4 Support and refunds. You support your Products. We may refund a Player at our discretion, for example where a Product was not delivered, did not work as described, or was bought without authorisation. The Creator Share of any refunded, reversed, charged-back or fraudulent sale is deducted under section 7.
5.5 Test mode. Purchases made with test Credentials in the sandbox involve no money, create no earnings, and must never be used to give Products to Players in a live Game.
6. Revenue share and payouts
6.1 Split. For each Gross Sale of your Products, you earn the Creator Share (70%) and we keep the Platform Share (30%). Your dashboard shows each sale, your Creator Share, refunds and payouts.
6.2 Payout schedule. We pay your balance of Creator Share for each calendar month by the fifteenth (15th) day of the following month, provided it is at least ₦5,000. A smaller balance carries over to the next month.
6.3 How we pay. We pay in naira by bank transfer to an account in your name, or your company's name, that you give us through the secure channel we tell you about. We never ask for your banking details in the dashboard, by social media or through the game. We may ask you to verify your identity, and your company's registration, before any payout. Transfer charges for accounts outside Nigeria are yours.
6.4 Taxes. You are responsible for your own taxes on your earnings. Where the law requires us to deduct or withhold tax from a payout (for example withholding tax), we will do so and give you the evidence we receive.
6.5 Holds. We may hold payouts, in whole or part, for up to ninety (90) days while we investigate suspected fraud, chargebacks, a breach of this Agreement or a legal requirement. We will tell you when we do.
6.6 No other fees. Submitting a Game is free. Apart from the Platform Share, we charge you nothing unless we agree otherwise in writing.
7. Refunds, chargebacks and fraud
7.1 If a sale is refunded, reversed or charged back, or we reasonably find it fraudulent or in breach of this Agreement, we deduct its Creator Share from your balance. If your balance is not enough, we deduct it from future payouts. If no future payouts are expected, you must repay it within thirty (30) days of our request.
7.2 Earnings created by fraud, manipulation, self-dealing, abuse of the Developer Tools or breach of section 4 are not owed. We may cancel them and recover any already paid.
8. Players and data protection
8.1 What you receive. Through the SDK your Game receives only:
- a pseudonymous player id unique to your Game;
- the Player's display name and avatar picture;
- short-lived session tokens.
You do not receive, and must not try to obtain, Players' usernames, email addresses, phone numbers, passwords, location, money or any other personal data.
8.2 Your duties. You must:
- (a) use what you receive only to run your Game for that Player;
- (b) not try to identify Players or link them across games or services;
- (c) not sell, share or disclose Player data;
- (d) keep any data you hold secure;
- (e) delete it when your Game is removed or when we ask;
- (f) comply with the Nigeria Data Protection Act 2023 and any other data protection law that applies.
8.3 Breaches. You must tell us without delay, and in any case within seventy-two (72) hours of becoming aware of it, of any security incident affecting Player data or your Credentials, and help us respond.
9. Security
9.1 You must:
- (a) keep your Credentials confidential and stored securely on your server, never in your Game's client code;
- (b) rotate them immediately if they may have been exposed;
- (c) serve your Game over HTTPS;
- (d) verify our webhook signatures and purchases on your server;
- (e) keep your Game free of vulnerabilities you know about.
9.2 You must not test, probe or attack the Platform's security, other than normal use of the Developer Tools as documented. If you find a vulnerability, report it privately to support@lagoslife.app with the subject "Security" and give us reasonable time to fix it before telling anyone else.
9.3 We may suspend your Game or Credentials immediately, without notice, if we believe there is a security, safety, fraud or legal risk.
10. Review, listing and removal
10.1 We review Games and Products before they go live and may approve, ask for changes, or reject them at our discretion. Approval does not mean we have checked your Game is lawful, safe or non-infringing; that is your responsibility.
10.2 We decide how Games are listed, ranked, featured and displayed. We don't guarantee any number of Players, plays, sales or earnings.
10.3 We may turn off or remove your Game, any Product, or your developer access at any time, including for a breach of this Agreement, Player reports, legal or safety reasons, or if we stop offering community games. Where reasonable we will tell you why.
11. Branding
You may say your Game is "Available in Lagos Life" (or the Vatar world it's in) and use the badges we provide for that, as we provide them. You may not otherwise use the Vatar or Lagos Life names or logos, or suggest a partnership, sponsorship or endorsement, without our written permission.
12. Confidentiality
Anything we share with you that is marked confidential, or that you should reasonably understand to be confidential (including unreleased features and your Credentials), you must keep confidential and use only under this Agreement.
13. Term and termination
13.1 This Agreement starts when you accept it and continues until either of us ends it. You may end it at any time by removing your Games in the dashboard or by telling us. We may end it at any time by notice.
13.2 When this Agreement ends:
- your Games are removed;
- your Credentials stop working;
- you must stop using the Developer Tools and delete Player data as section 8 requires;
- we pay your remaining Creator Share balance at the next payout date, after deductions under sections 6 and 7, unless we end it because of your fraud or material breach.
13.3 These sections survive the end of this Agreement: 3.2 (for material already published), 5.4, 6, 7, 8, 9.2, 12, 14, 15, 16 and 18.
14. Disclaimers
The Platform and the Developer Tools are provided "as is" and "as available". To the fullest extent the law allows, we make no warranties of any kind, express or implied, including about availability, uninterrupted or error-free operation, fitness for a purpose or results. We are not responsible for your Game, its hosting or its content.
15. Limitation of liability
15.1 To the fullest extent the law allows, neither party is liable to the other for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data or goodwill.
15.2 To the fullest extent the law allows, our total liability under or in connection with this Agreement is limited to the greater of:
- (a) the Creator Share we paid you in the six (6) months before the claim; and
- (b) one hundred thousand naira (₦100,000).
15.3 Nothing in this Agreement limits liability that cannot be limited by law, or your liability under sections 7, 8 and 16 or for breach of section 4.
16. Indemnity
You will defend, indemnify and hold harmless Vatar, its worlds (including Lagos Life) and their officers, employees and partners against any claims, losses, damages, fines, costs and expenses (including reasonable legal fees) arising from:
- (a) your Game or its content;
- (b) your breach of this Agreement or of the law;
- (c) any claim that your Game infringes someone's rights;
- (d) your handling of Player data;
- (e) Products you sell, including your failure to deliver them.
17. Changes to this Agreement
We may update this Agreement. We will post the new version with its version number and effective date, and tell you through the dashboard or by email at least fourteen (14) days before a material change takes effect, unless the change is needed sooner for legal, security or safety reasons. If you continue to use the Developer Tools or keep your Game on the Platform after it takes effect, you accept the new version. We may ask you to accept it again before you submit or update a Game.
18. General
18.1 Governing law and courts. This Agreement is governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State, Nigeria have exclusive jurisdiction, except that we may seek urgent relief in any court.
18.2 Relationship. We are independent parties. Nothing in this Agreement creates a partnership, joint venture, agency or employment.
18.3 Assignment. You may not transfer this Agreement without our written consent. We may transfer it to a company in our group or to a successor of our business.
18.4 Entire agreement. This Agreement, with the documents it refers to, is the whole agreement between us about its subject. If a part is found unenforceable, the rest stays in effect. A failure to enforce a right is not a waiver of it.
